Independent Directorship Services

Our independent directors leverage their unique skill sets to bring objectivity and freedom of thought to companies navigating through complex, contentious or litigious situations. The appointment of specialist independent directors can enhance value for all parties in challenging circumstances, particularly compared to some of the alternative remedies which may be available to stakeholders in the Cayman Islands.

An incumbent board can be  weighed down or impacted by historical decisions meaning that trust with shareholders or investors may be eroded. We have a team of highly skilled fiduciaries who take directorship roles, either alongside existing office holders, or as replacements on boards, bringing independence, critical thinking and action at what may be a pivotal time for a company. We are also able to provide directors to “fill the void” if there has been a mass resignation or in restoration situations where service providers may be unwilling or unsuitable to fulfil the role(s).

Working with our colleagues in the wider Rawlinson & Hunter Cayman Islands group, we can also assist with the provision of registered office services, Cayman Islands Monetary Authority (‘CIMA’) licensed directorships and fund administration services, if required.

Recent engagements which our team have undertaken include:

  • Appointed as replacement directors to a general partner to facilitate its orderly winding down and CIMA deregistration;
  • Parachuted into an investment vehicle embroiled in extensive litigation in the United States following a change of control;
  • Appointed as directors to conduct investigations into the current financial position and historic operations of a group of companies formally controlled by a nominee shareholder.
